Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Clarion platform at getclarion.in (the “Service”), operated by Clarion (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 16 years old to use the Service. By agreeing to these Terms, you represent that you are at least 16 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Accounts
2.1 Registration
To access the Service, you must create an account by providing a valid email address and password, or by authenticating through Google OAuth. You agree to provide accurate, current, and complete information and to keep your account information updated.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at admin@getclarion.in if you become aware of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized use of your account.
2.3 Organizations
Accounts belong to organizations. The organization Owner has full administrative control, including the ability to invite members, assign roles, manage billing, and remove members. By accepting an invitation to an organization, you agree that the organization Owner and Admins can manage your access level and view data you contribute.
3. Plans and Billing
3.1 Free Plan
The Free plan provides limited access to the Service at no cost. Free plan features and limits may change at our discretion. The Free plan includes access to the Spec Studio (subject to daily rate limits), the dashboard, and settings.
3.2 Paid Plans (Pro and Enterprise)
Paid plans unlock the full platform including signals, insights, opportunities, AI chat, integrations, advanced analytics, and premium AI models. Pricing is published on our website and is subject to change with 30 days’ notice for existing subscribers.
3.3 Billing and Payment
- Paid subscriptions are billed in advance on a monthly or annual basis through Razorpay.
- All fees are quoted in USD or INR and are exclusive of applicable taxes unless stated otherwise.
- You authorize us to charge your payment method for all fees incurred under your subscription.
- Failed payments may result in suspension of paid features. We will notify you by email before any suspension.
3.4 Cancellation and Refunds
- You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period.
- No prorated refunds are provided for partial billing periods.
- Upon cancellation, your account will revert to the Free plan. Your data will be retained and accessible in read-only mode for 90 days, after which it may be deleted.
- Annual subscriptions may be eligible for a pro-rata refund within the first 14 days if you have not substantially used paid features. Contact us to request a refund.
3.5 Seat-Based Pricing
Enterprise plans are priced per seat. A “seat” is any user with active membership in your organization who has Pro access enabled. Admins can manage seat allocation when inviting or managing team members.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law.
- Upload or process data that you do not have the right to use, including data that infringes intellectual property rights or violates privacy rights of third parties.
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
- Interfere with or disrupt the Service, servers, or networks, including by transmitting viruses, malware, or excessive automated requests.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or redistribute the Service or any output generated by the Service without our prior written consent.
- Use the Service to build a competing product or service.
- Circumvent or attempt to circumvent any rate limits, usage restrictions, or access controls.
- Scrape, data mine, or use automated tools to extract data from the Service except through our official API with valid authentication.
5. Your Data
5.1 Ownership
You retain all ownership rights to the data you upload to the Service (“Your Data”), including customer signals, feedback, specifications, and any other content you create or import. Clarion does not claim ownership of Your Data.
5.2 License to Clarion
You grant Clarion a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.
5.3 Data Processing
Your Data is processed by AI services to deliver Clarion’s features (classification, theme extraction, insight generation, specification creation). Your Data is never used to train AI models. See our Privacy Policy for full details on data processing.
5.4 Data Export
You may export Your Data at any time using our built-in export features (CSV, JSON, DOCX, PDF, and API access). We support data portability and will assist with bulk exports upon request.
5.5 Data Deletion
You may delete Your Data at any time through the Service. Deleted data is soft-deleted immediately and permanently purged within 30 days. To request complete account and data deletion, contact us at admin@getclarion.in.
6. AI-Generated Content
6.1 Ownership of Output
Content generated by Clarion’s AI features (insights, opportunity recommendations, PRDs, machine specs, agent artifacts) is generated based on Your Data and belongs to you. You may use, modify, and distribute AI-generated output without restriction.
6.2 No Guarantees on AI Output
AI-generated content is provided as a starting point and may contain inaccuracies, omissions, or biases. You are responsible for reviewing, validating, and editing all AI-generated content before relying on it for business decisions, publishing it, or using it in production systems. Clarion does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.
6.3 AI Model Changes
We may update, change, or replace the AI models used by the Service to improve quality and performance. We will aim to maintain or improve output quality but cannot guarantee identical results after model changes.
7. Integrations and Third-Party Services
The Service allows you to connect third-party services (Zendesk, Intercom, Gong, Amplitude, GitHub, Slack, and others). When you enable an integration:
- You authorize Clarion to access and process data from those services on your behalf.
- You are responsible for ensuring you have the right to share data from those services with Clarion.
- Third-party services are governed by their own terms and privacy policies. Clarion is not responsible for the practices of third-party providers.
- You may revoke integration access at any time from Settings. Revoking access will stop future data syncing but will not automatically delete previously imported data.
8. API and MCP Server Usage
8.1 API Access
Clarion provides a REST API and MCP (Model Context Protocol) server for programmatic access. API usage is subject to rate limits based on your plan. API keys are confidential — you are responsible for securing them and liable for all activity under your keys.
8.2 Rate Limits
We enforce rate limits to ensure fair usage and platform stability. If you exceed rate limits, requests will be temporarily throttled or rejected. Persistent abuse may result in API access suspension.
9. Intellectual Property
9.1 Clarion IP
The Service, including its design, code, algorithms, AI models (as configured), documentation, branding, and all related intellectual property, is owned by Clarion and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to Clarion’s intellectual property beyond the limited right to use the Service.
9.2 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without obligation or compensation to you.
10. Service Availability
10.1 Uptime
We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
10.2 Modifications
We may modify, update, or discontinue features of the Service at any time. For material changes that reduce functionality of paid features, we will provide 30 days’ notice. If a change materially affects your use, you may cancel your subscription for a pro-rata refund of the unused portion.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) AI-generated output will be accurate, complete, or reliable; or (d) any errors in the Service will be corrected.
12. Limitation of Liability
To the maximum extent permitted by law, Clarion shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim; or (b) one hundred US dollars ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Clarion and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) data you upload or process through the Service.
14. Termination
14.1 By You
You may terminate your account at any time by contacting us at admin@getclarion.in. Active subscriptions will remain in effect until the end of the current billing period.
14.2 By Us
We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, fail to pay fees, or if we are required to do so by law. We will provide reasonable notice when possible. Upon termination for cause, you are not entitled to any refund.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 90 days to allow for export, after which it may be permanently deleted. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will survive.
15. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Hyderabad, India. The language of arbitration shall be English.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Clarion regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Force Majeure: Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet infrastructure failures.
- Notices: We will send notices to the email address associated with your account. You are responsible for keeping your email address current. Notices are deemed received 24 hours after being sent.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on this page with a new “Last updated” date. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
